Constitution
1. Title
(1.1) The Club shall be known as "The Sarnia Skittles Club"
2. Aims
(2.1) To encourage and foster the game of Skittles inGuernsey.
3. Membership
(3.1) On payment of their annual subscription, all players areconsidered members of the Club and are entitled to avote.
(3.2) The annual subscription of members shall be fixed at theAnnual General Meeting for each forthcomingseason.
4. Management & Control
(4.1) The management and control of the Club shall be vested in aCommittee consisting of a maximum of 10members.
5. Annual General Meeting
(5.1) The Annual General Meeting of the Club shall be held during theclose season.
(5.2) Members shall be given at least 28 days written notice of theAnnual General Meeting or 14 days of any Special General Meeting. Any proposedalterations to the rules, to be considered at an Annual General Meeting, must bemade in writing to the Secretary not later than 21 days before themeeting.
(5.3) At the Annual General Meeting, the chair shall be taken by thePresident or in his absence by the Vice President of the Club..
(5.4) A member of each team in the Club shall constitute a quorum atthe Annual General Meeting or a Special General Meeting.
(5.5) A Special Meeting shall be commenced by a written request, tothe Secretary, of at least 10 members of the Club. Such a Meeting shall be heldwithin 30 days of the request. The agenda and motions shall be circulated to allmembers of the Club.
(5.6) No alteration or amendment shall be made to Rule 2 (AIMS) orRule 9 (DISSOLUTION), which would cause the Club to cease to be a legal SportingClub, nor shall any alteration or amendment be made to thisrule.
6. Committee Elections
(6.1) The Committee shall be elected at the Annual General Meetingand shall consist of a President, Vice President, Secretary, Fixtures Secretary,Treasurer and at least Five Ordinary Members.
(6.2) The term of office for all members of the Committee shall beone year.
7. Title
(7.1) The President, or in his absence the Vice President, shall actas Chairman of the Committee.
(7.2) The Secretary shall report in writing the proceedings of eachCommittee meeting, prepare an annual report of the Committee's activities forthe Annual General Meeting and undertake such other secretarial duties as may berequired.
(7.3) The Fixtures Secretary shall keep a record of all players andteams registered in the Club. They shall prepare the annual fixtures book fordistribution to members. They shall also keep full records of the matches ofeach team during the playing season.
(7.4) The Treasurer shall keep account of all income and expenditurewhich shall be submitted, duly audited, to the Annual GeneralMeeting.
(7.5) The Treasurer shall maintain a bank account in the name of theClub and withdrawals shall be made in the name of the Club on the signature ofany two of the following:
(i) The President
(ii) The Secretary
(iii) The Treasurer
(iv) One designated Ordinary Committee Member
(7.6) Two Auditors, not being members of the Committee, shall beappointed annually at the Annual General Meeting to audit the books and recordsof the Club.
(7.7) The Committee is empowered to co-opt any person or persons, forany purpose, as is deemednecessary.
8. Holding of Meetings
(8.1) The Club shall be known as "The Sarnia Skittles Club"
9. Dissolution
(9.1) The Club may by Special Resolution, resolve that it bedissolved.
(9.2) Any assets remaining on dissolution of the Club, aftersatisfying any outstanding debts and liabilities, shall be distributed amongstthe members of theClub.
10. General
(10.1) The Club shall take out Third Party Liability Insurance, insuch sum as it may determine from time to time, to cover all the meetings andactivities.
(10.2) Any matter not provided for in the Constitution shall be dealtwith by the Committee, whose decision shall befinal.
11. Interpretation
(11.1) In this Constitution
"Ordinary Resolution" means a resolution carried by asimple majority of those present;
"The Club" means the Sarnia SkittlesClub;
"Special Resolution" means a resolution carried by atwo-thirds majority of those present.
(11.2) In this Constitution the masculine shall be taken to includethe feminine and any other words shall be interpreted in the same manner as ifthey appeared in an enactment having force in the Bailiwick of Guernsey.
